In short
- During the alpha and beta, every DCUT license is a Limited alpha license or a Limited beta license: personal, non-transferable, revocable and for testing.
- It ends at the end of the beta, or earlier if DrewUI ends it. It is not a license to the released product, and it is not part of any DCOMP plan.
- DCUT is unfinished. Keep your original footage, and do not use it for work you cannot redo.
- Up to 3 computers per account, and up to 7 days offline after the last online check.
- DCUT, the DCUT Launcher and the DrewUI Engine belong to DrewUI LLC. Third-party parts, such as FFmpeg and the speech-to-text components, keep their own licenses (section 9).
1. About These Terms
These terms are the End User License Agreement for DCUT and the DCUT Launcher during DCUT's alpha and beta stages. During the alpha they are called the DCUT Limited Alpha License, and during the beta the DCUT Limited Beta License ("these Terms"). They are an agreement between you and DrewUI LLC ("DrewUI", "we", "us", "our").
You accept these Terms when you tick "I agree to the DCUT Limited Alpha License and acknowledge the Privacy Policy" in the DCUT Launcher (during the beta, the box names the DCUT Limited Beta License; earlier launchers read "I agree to the End User License Agreement"), or when you install or use the Software. If you do not agree, do not install or use the Software. You must be at least 13 years old (or the minimum age required where you live) and able to enter into this agreement.
The DrewUI Terms of Service continue to govern your DrewUI account, your purchases and your use of drewui.com. For the Software, these Terms apply instead of the license grant and restrictions in section 5 of the Terms of Service, and where the two documents conflict about the Software, these Terms control.
2. Definitions
- "DCUT" means DrewUI's video editor for Windows, in every alpha and beta build.
- "the Launcher" means the DCUT Launcher, which signs you in, installs, updates and starts DCUT.
- "Components" means the parts that ship with DCUT or that the Launcher downloads for it: the FFmpeg libraries and programs installed beside DCUT, the speech-to-text runtime and speech models used to make captions, and DrewUI Camera.
- "the Software" means DCUT, the Launcher and the Components, together with any update, documentation or notice DrewUI provides with them.
- "Third-Party Components" means the parts of the Software made by others, which are listed in the notices described in section 9.6.
- "the Testing Period" means DCUT's alpha and beta stages, from the moment your invitation opens until your license ends under section 13.
3. Your Limited Alpha or Beta License
Subject to these Terms, DrewUI grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable license to install and run the Software, in the executable form we provide, on up to three (3) Windows computers that you own or control, through your own DrewUI account, during the Testing Period, in order to test DCUT and to make your own videos with it.
During the alpha stage this is called a Limited alpha license, and during the beta stage a Limited beta license. Your dashboard on drewui.com, the Launcher and DCUT's About window show which one you have.
What this license is not
- It is not a license to the released product. It gives you no right to use, receive or buy any version of DCUT released after the beta, at any price or on any terms. A released version of DCUT will come with its own terms and price.
- It is not a lifetime or perpetual license, and it is not part of any DCOMP plan. A DCOMP purchase, including DCOMP Lifetime, does not include a DCUT license. DCOMP Lifetime owners are invited to the alpha first and will hear about DCUT's launch pricing first; these Terms do not promise any price or discount.
- It is personal. Only you may use it. You may not share, sell, lend or transfer it, or your account's access to it.
- It is for testing. DCUT is unfinished, and DrewUI may change, limit, pause or end it at any time (section 13).
All rights not expressly granted in these Terms are reserved by DrewUI LLC.
4. Invitations and the Testing Period
DCUT's alpha is by invitation only. DrewUI decides who is invited and when, and may invite people in groups (for example, DCOMP Lifetime owners in the order they first purchased). Your license starts when your invitation opens and the DCUT download appears on your dashboard. An invitation that has not opened yet gives you no right to use the Software.
DrewUI may limit the number of testers, and may move DCUT from the alpha stage to the beta stage. These Terms continue to apply in the beta unless DrewUI publishes new terms under section 16.
5. Your Account, Computers and Online Checks
- Account. You sign in to the Launcher with your DrewUI account's email and password. Keep them secret: you are responsible for everything done with your account.
- Online checks. When the Launcher starts DCUT, and when it checks for updates or downloads a Component, it asks DrewUI's servers whether your account may use DCUT and records the computer. Our Privacy Policy says exactly what is sent and kept.
- Computer limit. You may use DCUT on up to 3 computers. A computer counts toward this limit until 30 days after the Launcher last checked in from it. To move DCUT to another computer sooner, contact support and we can free one.
- Offline use. After a successful online check, DCUT can run without an internet connection for up to 7 days. After that, the Launcher must go online again before DCUT starts.
DrewUI may change these limits during the Testing Period.
6. Updates and Components
The Launcher downloads and installs updates to the Software, and some updates are required before DCUT will start. By using the Software you agree to receive them. Updates may add, change or remove features.
Some Components are optional and are downloaded only when you ask for them or when a feature you use needs them, such as the speech-to-text runtime and the speech models for captions. DrewUI Camera installs a Windows virtual camera, needs Windows 11, and asks for administrator approval when it is installed or removed.
7. Ownership
Except for the Third-Party Components, the Software, including DCUT, the DCUT Launcher and the DrewUI Engine that DCUT runs on, and all of their code, design and documentation, is the exclusive property of DrewUI LLC and is protected by copyright and other laws. Copyright (c) 2026 DrewUI LLC. All rights reserved.
No first-party part of the Software is open source software, and nothing in these Terms or in any notice licenses DrewUI's own code to you under an open source license. The Software is licensed to you, not sold.
DrewUI, DCOMP and DCUT, and their logos, are trademarks of DrewUI LLC.
Your content is yours. DrewUI claims no ownership of the videos, projects or other content you make with the Software.
8. Restrictions
Except as section 9 allows for Third-Party Components, or to the extent applicable law expressly permits despite this restriction, you may not:
- copy the Software, other than the copies the Launcher makes when it installs and updates it;
- share, publish, sell, rent, lease, lend, sublicense or transfer the Software, its download links or your launch tickets, or let anyone else use your account;
- reverse engineer, decompile or disassemble the Software, or otherwise try to derive its source code;
- modify the Software or create derivative works of it;
- bypass, disable or interfere with the sign-in, license checks, launch tickets, the computer limit, the offline limit, update signatures or any other protection in the Software;
- remove or alter any copyright, trademark or other notice in the Software;
- use the Software to build a competing product; or
- use the Software against the law or the rights of others, including the rights in footage, music or other material you edit.
9. Third-Party Software
9.1 Open source and third-party components
The Software includes software provided by third parties. Each such component is listed, with its license, in the notices described in section 9.6. A component provided under an open source license is governed by that license, and nothing in these Terms limits the rights that license gives you.
Some components, including the Intel OpenMP runtime library and the Intel oneAPI Math Kernel Library, are provided in object code only. You may not reverse engineer, decompile or disassemble them, or modify or alter them or their operation, including while they run, except to the extent applicable law expressly permits it despite this restriction.
9.2 FFmpeg and other LGPL libraries
DCUT uses libraries from the FFmpeg project (ffmpeg.org), licensed under the GNU Lesser General Public License, version 3 or later ("LGPL"). Other libraries are built into those files under the LGPL and the other licenses listed in the notices. DrewUI does not modify FFmpeg. Its libraries are installed as separate DLL files beside DCUT, and ffmpeg.exe and ffprobe.exe run as separate programs.
For these LGPL libraries, and despite section 8:
- you may modify them, and replace the copies installed with DCUT with your own builds of the same major versions;
- you may reverse engineer DCUT, but only to the extent needed to debug such modifications; and
- the LGPL's own terms govern your use of those libraries.
DrewUI does not support a replaced library, and an update may put DrewUI's copy back.
Source code. DrewUI offers the complete corresponding source code of each FFmpeg build it ships, including the build scripts and the source of the libraries built into it, at no charge, from DrewUI's public download storage, the same storage service DCUT is downloaded from. The FFmpeg section of the notices installed with DCUT gives each build's source address on its "Source archive:" line; you can download that build's source there. For as long as DrewUI distributes a build, and for at least three years after, you can also ask for its source by email at getdrewui@gmail.com, and we will provide it for no more than our cost of providing it.
FFmpeg is a trademark of Fabrice Bellard, originator of the FFmpeg project.
9.3 NVIDIA components
The speech-to-text runtime includes the NVIDIA cuBLAS, cuBLASLt and cuDNN libraries and the NVIDIA CUDA Runtime (the "NVIDIA Components"), which DCUT uses to run speech-to-text on NVIDIA graphics hardware. The NVIDIA Components are licensed to DrewUI LLC by NVIDIA Corporation under the NVIDIA CUDA Toolkit End User License Agreement and NVIDIA's License Agreement for NVIDIA Software Development Kits with its cuDNN Supplement, and are made available to you only as part of DCUT. In addition to the rest of these Terms, the following applies to the NVIDIA Components:
- Use only with DCUT. You may use the NVIDIA Components only as part of DCUT and only through DCUT. You may not extract, copy, load or otherwise access or use them separately from DCUT or with any other software.
- Restrictions. You may not (a) reverse engineer, decompile or disassemble the NVIDIA Components, except to the extent applicable law expressly permits it despite this restriction; (b) remove or alter any copyright, trademark or other proprietary notice in them; (c) copy, modify, create derivative works of, sell, rent, lease, sublicense, transfer or distribute them; (d) bypass, disable or circumvent any encryption, security, digital rights management or authentication mechanism in them; or (e) use them in any way that would subject them to an open source license that requires, as a condition of use, modification or distribution, that they be disclosed or distributed in source code form, licensed for making derivative works, or redistributable at no charge.
- No critical uses. The NVIDIA Components are not designed, tested or manufactured for use in any system or application whose use or failure could reasonably be expected to threaten or result in personal injury, death or catastrophic loss, such as avionics, navigation, military, medical or life support systems. You may not use them for any such purpose.
- Ownership. NVIDIA Corporation and its licensors keep all right, title and interest, including all intellectual property rights, in and to the NVIDIA Components. No rights are granted to you other than the limited right to use them as part of DCUT under these Terms. NVIDIA Corporation and its licensors are intended third-party beneficiaries of this section 9.3 and may enforce it with respect to their intellectual property rights.
- No warranty or liability from NVIDIA. The NVIDIA Components are provided "as is" and "with all faults". To the maximum extent permitted by law, NVIDIA Corporation and its affiliates disclaim all warranties, express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, and are not liable to you for any damages of any kind arising out of or related to the NVIDIA Components or their use.
- Export. The NVIDIA Components are subject to United States export control and economic sanctions laws. You may not export, re-export or use them in any country, or for any person or end use, prohibited by those laws.
- No endorsement. DCUT is not sponsored or endorsed by NVIDIA. NVIDIA, CUDA, cuBLAS and cuDNN are trademarks of NVIDIA Corporation.
- Termination. Your right to use the NVIDIA Components ends when your right to use DCUT ends. You must then stop using them and delete them, which uninstalling DCUT does.
9.4 Intel components
The speech-to-text runtime also includes the Intel OpenMP runtime library, licensed to DrewUI under the Intel End User License Agreement for Developer Tools, and the Intel oneAPI Math Kernel Library, built into the CTranslate2 library under the Intel Simplified Software License (together, the "Intel Components"). In addition to section 9.1:
- Use only with DCUT. You may use the Intel Components only as part of DCUT, in the executable form provided.
- Intel's liability. Intel Corporation and its suppliers provide the Intel Components without any warranty and are not liable to you for any of these losses or damages, whether or not they were foreseeable: loss of revenue, profits, the use of money, anticipated savings, business, opportunity, goodwill or reputation; loss of use of the Intel Components; loss of, damage to or corruption of data; or any indirect, incidental, special or consequential loss or damage, however caused. Intel's total liability to you, for any reason, will not exceed one hundred US dollars (US$100).
- No endorsement. DCUT is not certified, endorsed or guaranteed by Intel. Intel is a trademark of Intel Corporation.
9.5 Speech models
DCUT makes captions with OpenAI's Whisper speech recognition models (MIT License, Copyright (c) 2022 OpenAI), in the CTranslate2 conversions published by SYSTRAN (the Systran faster-whisper models, MIT License). The Launcher downloads each model, unchanged, from DrewUI's server when captions first need it, together with a notice that carries the full MIT License text. The MIT License governs the models, and nothing in these Terms limits it. Captioning runs on your computer: your audio is not sent to DrewUI or anyone else.
9.6 Where to find the notices
The full license texts and notices for every Third-Party Component are in DCUT under Help > Licenses & Credits, in the Launcher under Licenses at the bottom of its window, and in the THIRD_PARTY_NOTICES files installed with DCUT, the Launcher, the speech-to-text runtime and DrewUI Camera. licenses\FFMPEG_BUILD.txt in DCUT's folder records the exact FFmpeg build. Where a notice gives you rights in a Third-Party Component, those rights apply as the notice states.
10. Alpha Software and Your Data
DCUT is alpha software (and, later, beta software). It is unfinished and has been tested on few computers. It may crash, freeze, run slowly, give wrong results, or damage or lose projects, settings and exports. In particular:
- Keep your original footage and copies of anything important. DCUT is not a backup tool.
- Do not use the alpha for work you cannot redo, or where a deadline, a client or your income depends on it.
- Projects made in one build may look different, or may not open, in a later build. DCUT projects (.drui files) do not open in DCOMP.
- Features may change or disappear between builds, and may never appear in a released version.
Do not use the Software in any system where its failure could cause injury, death or serious loss. You use the Software at your own risk.
11. No Warranty
To the maximum extent permitted by applicable law, the Software is provided "as is", "as available" and "with all faults", without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title and non-infringement.
DrewUI LLC does not warrant that the Software will work on your computer, will be uninterrupted, error-free or free of harmful components, will meet your requirements, or will preserve your files, or that any defect will be corrected.
Some jurisdictions do not allow certain warranties to be excluded. Where that is the case, those warranties are limited to the shortest period the law allows, and nothing in these Terms takes away rights you have as a consumer that cannot be waived.
12. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall DrewUI LLC, its officers, directors, employees, agents or suppliers be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, footage, projects or exports, arising out of or in connection with the Software or these Terms, even if DrewUI has been advised of the possibility of such damages.
DrewUI's total aggregate liability to you for all claims arising out of or related to the Software or these Terms shall not exceed the amount you paid to DrewUI in the twelve (12) months preceding the claim.
Nothing in these Terms limits liability that cannot be limited under applicable law.
13. When Your License Ends
Your Limited alpha or beta license ends automatically, without further notice, at the earliest of:
- the end of the beta: the date DrewUI announces as the end of the beta, or the day DrewUI makes a released version of DCUT generally available, whichever comes first;
- when DrewUI ends it: DrewUI may end or suspend any license, or the whole alpha or beta, at any time and for any reason, by notice to you (by email, on your dashboard or in the Launcher);
- if you breach these Terms; or
- when your account loses DCUT access: for example when your DrewUI account is closed, or when the DCOMP purchase your invitation was based on is refunded or charged back.
When your license ends, you must stop using the Software and uninstall it (Windows Settings > Apps > DCUT). The Launcher stops starting DCUT, and because DCUT checks online, it stops starting within 7 days even on a computer that stays offline.
Your videos and exports remain yours. DCUT projects (.drui files) open only in DCUT, so export anything you need before your license ends.
Sections 7, 8, 9, 11, 12, 15, 17 and 18 continue to apply after your license ends.
14. Privacy
The DCUT section of our Privacy Policy describes what the Software sends and what DrewUI keeps. In short: the Launcher sends your sign-in, a one-way machine ID, the app and Launcher versions and your platform for license checks; DCUT sends nothing about your editing; publishing goes only to the platforms you connect yourself; and Send to phone stays on your local network.
15. Export and Lawful Use
The Software is subject to United States export control and economic sanctions laws. You confirm that you are not located in a country, and are not a person, that those laws prohibit from receiving it, and you will not export, re-export or use the Software in violation of them. You are responsible for complying with the laws that apply to your use of the Software.
16. Changes to These Terms
DrewUI may update these Terms. When we make a material change, we will post the new version on this page with a new version number and date, and the Launcher will ask you to accept it before it starts DCUT again. If you do not accept the updated Terms, stop using the Software.
17. Governing Law
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms or the Software shall be resolved exclusively in the state or federal courts located in the State of Florida, and you agree to the personal jurisdiction of those courts. This does not take away any mandatory consumer protection that the law of the country where you live gives you.
18. General
These Terms, together with the DrewUI Terms of Service and Privacy Policy, are the whole agreement between you and DrewUI about the Software. If any part of these Terms is found unenforceable, the rest stays in effect and that part is enforced to the extent allowed. If DrewUI does not enforce a part of these Terms, that is not a waiver. You may not assign these Terms; DrewUI may assign them to a successor to its business.
